Due Diligence, Negotiation and Deal Documentation
Execution-stage support for M&A transactions in Israel – from due diligence, through negotiation and deal-side communication, to transaction documentation and progress toward closing.
Our Offer
Once the decision to move forward with a transaction has been made, the main challenge shifts from evaluation to execution. This is the stage at which due diligence needs to be managed in practice, findings consolidated, follow-up questions driven, deal momentum maintained, negotiations supported, and transaction documents held within a single coherent framework.
That is why we built the M&A Execution Pack as a practical execution-stage solution for complex transactions in Israel. This is not a narrow advisory add-on, nor is it only a due diligence review. It is a working framework that connects due diligence, negotiation, deal messaging, documentation, and progression through to closing. In your product framework, this is explicitly defined as Package 1.2 – the transaction execution stage – including active DD management, negotiation support from LOI through closing, and coordination of transaction documents and related workstreams.
-
Who This Is For
This solution is particularly relevant for:
- Foreign companies that have already decided to move forward with an acquisition, merger, or investment in Israel
- Management teams, investors, and shareholders who need one body to manage the execution stage
- Companies that have entered due diligence and need findings, questions, and decisions to be handled in a structured way
- Transactions involving multiple advisers, parties, and documents – where one coordinating framework is needed to connect the process
- Selected domestic M&A situations within Israel, particularly in partner-led or referral-based settings
-
When to Reach Out
It makes sense to speak with us when:
- The decision to proceed has been made, and the transaction now needs to move from evaluation into execution
- Due diligence needs to be managed in practice, rather than approached as a loose review exercise
- Findings, follow-up questions, and communication with the other side need to be coordinated
- Negotiations are progressing, but there is no single framework holding the pace, the documents, and the decisions together
- LOI-stage work, draft agreements, and progression toward closing need structured support
- You want to avoid a fragmented process in which each adviser handles only one part without overall transaction management
-
How the Process Is Structured
Stage 1 – Launching DD and Establishing the Working Framework
We define the working route, align the review streams, clarify responsibilities, and set the process’s pace.Stage 2 – Consolidating Findings, Questions and Decisions
We manage due diligence in practice, consolidate findings, maintain a clear flow of questions and responses, and translate the information into decision points.Stage 3 – Negotiation, Documentation and Progress Toward Closing
We continue into the negotiation stage, coordinate the transaction documents, and support the deal through to closing. -
What Makes This Solution Different
Not Just Due Diligence – But Active Deal Management
The solution does not stop at due diligence. It connects DD, negotiation, documentation, and transaction management all the way through closing. One Integrated Framework Across Workstreams
Your product positioning is clear: a connection between legal, negotiation, due diligence, finance, and tax – within one framework that can then continue into post-close implementation.Momentum and Deal-Side Messaging
One of the major sources of value at this stage is not only identifying findings, but maintaining the right pace, a coherent message flow, and a clear decision framework.A Responsible Commercial Positioning

There are many materials, many questions, and multiple advisers involved – but no single body is holding the framework, the pace, and the full picture together.

At this stage, the value lies in connecting the DD findings, the commercial logic, and the deal-side messaging so that the transaction can move toward closing on a sound footing.
A Transaction with Multiple Documents, Drafts and Interlinked Workstreams
Here, the value is not only in the legal or financial content itself, but in keeping the entire documentation and decision flow under control.

What is the difference between the Decision Sprint and the Execution Pack?
The Sprint is designed to build a decision framework and sharpen direction before entering the transaction in depth. The Execution Pack is designed to manage due diligence, negotiation, documentation, and the practical progression of the deal.
Do you handle only due diligence, or also the negotiation and the documents?
The solution includes not only DD, but also findings consolidation, deal-side communication, negotiation support, and the progression of transaction documents through to closing.
Do you work on a success-fee basis?
No. The model is built around defined packages and agreed fees, not success fees.
Do you commit to bringing a deal or a target?
No. If there is any limited support in mapping or screening options, it is defined explicitly, on a fee basis, and within a clear scope – not as a promise to bring a deal.
Already in Due Diligence or Negotiations and Need a More Structured Way to Manage the Deal?
We would be glad to understand the current stage of the deal, map the needs for the execution phase, and help you manage due diligence, negotiation, and transaction documentation within a single, clear framework.
